These Terms of Service are an agreement between you and Isaac Dickens (“we”, “us”), who operates Caravan. By creating an account or using this service (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.
You agree not to misuse the Service, including attempting to access data belonging to other organizations, interfering with the Service’s operation, or using it for any unlawful purpose.
You retain ownership of the business data you submit (suppliers, products, purchase orders, and related records). You are responsible for the accuracy and legality of data you submit.
Caravan’s agent reviews your data and proposes actions — reorders, competitive bids, risk flags, supplier agreements, and similar — but it has no ability to execute any of them on its own. Every proposal is a suggestion that sits in your Action Queue until a person in your organization approves it; nothing is ordered, sent, or changed until that happens. By approving a proposal, you are making that decision yourself — we are not responsible for the consequences of actions you or your team choose to approve, including proposals that turn out to be mistaken, and you’re responsible for reviewing a proposal’s substance (not just its existence) before approving it. If auto-approval is enabled for your organization, this responsibility applies to the rule you configured, not to each individual action it executes.
If you publish a listing on the cross-organization marketplace, its public fields (title, description, category, list price, minimum order quantity, lead time, and your seller display name) are visible to other organizations using the Service — your private reserve price and other buyers’ mandate details are not. Your suppliers access order, quote, and agreement information relevant to them through a scoped supplier portal using an emailed link, not a full account; they are bound by these Terms for that limited access, and you’re responsible for the accuracy of the supplier contact information you enter.
The Service may connect to third-party providers you configure (for example, payment, shipping, voice-calling, or messaging providers) to perform actions on your behalf. Your use of those providers is subject to their own terms.
New organizations get a 14-day free trial with no payment method required; a trial never turns into a paid plan by itself. After the trial, continued use requires an active paid plan. Paid plans are billed in advance through our payment processor, Stripe, monthly or annually as you choose at checkout, and renew automatically at the end of each billing period (each month, or each year on an annual plan) for the same period unless cancelled before the renewal date. You can change your plan at any time from the Billing page: the change takes effect immediately, and the price difference for the rest of the current billing period is charged straight away, or credited against future invoices if the new plan costs less. You can cancel at any time from the Billing page, which uses Stripe’s Customer Portal; cancellation takes effect at the end of the current billing period, and you keep access until then; after that the organization moves to the Free plan. Deleting your organization cancels its subscription immediately. If a payment fails, we retry it and your access continues while you update your payment method; if it still can’t be collected, the account becomes read-only until it is paid. Fees are non-refundable except where required by law. We are not responsible for payment processing errors or outages on Stripe’s part.
The Service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the Service, including damages arising from a proposal you or your team approved.
You may stop using the Service and delete your organization at any time from Settings, which permanently removes its data. We may suspend or terminate access for an organization that violates Section 3 (Acceptable use), fails to pay for an active plan, or where required by law, with notice where practical. Sections that by their nature should survive termination (including Section 8’s payment obligations and Sections 9 and 11) continue to apply.
These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law principles.
If a member of your team turns on text-message approvals, we text that person about proposals waiting for their approval and send one-time verification codes: at most one text per assistant review, plus any request for a second approval. We send no marketing texts. Message and data rates may apply. Reply STOP to stop, or HELP for help; consent is not a condition of using the Service, and approvals can always be made in the app. How people opt in and what is sent is described at /sms, and the privacy policy covers how numbers are handled.
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
